Terms & Conditions

Billing Period 
Allpro Technology LLC typically invoices business customers once per month. All products and services provided throughout the month will be listed on the monthly statement which will be sent via email within the first five days of the following month. Invoices will be sent to all contacts entered that have the “Is Billing Contact” value set to “Yes”.  Allpro Technology LLC reserves the right to require deposits or full prepayments when requested.
Net Terms 
All invoices are to be paid in full by the invoice Due Date. If for any reason payment is not paid in full by the Due Date, the client shall have been deemed to have made a choice to pay a time price differential of 1.5% (annual percentage rate 18%), minimum of $2.00, which shall be added to each subsequent monthly statement on any charges remaining past due. To avoid the time price differential charge, payment must be received no later than the Due Date of this invoice. All payments will first be applied to all time price differential amounts and then to the oldest invoice outstanding.
Payment Methods 
Customers are expected to pay by check unless Credit Card Auto Pay has been requested. Checks should be mailed to Allpro Technology LLC, 2425 S Blodgett Rd, Lake City, MI 49651. If you would prefer to pay by credit card, please call us at 231-839-7928 to provide us with your credit card information. We can store your credit card information in our secure encrypted database and automatically pay your invoice when the invoice is created. Note that a 3% processing fee will be added for all payments made by credit card (unless specified otherwise).
Suspension of Future Services 
Allpro Technology LLC reserves the right to suspend performing any future services for customers with invoices that are currently past due. Any past due invoices will need to be paid in full before any additional services will be performed.
Confidentiality 
This Confidentiality, Privacy and Compliance portion of this Agreement is in addition to other terms and conditions set forth in any and all contracts currently existing or hereafter created between CLIENT and Allpro Technology LLC. This agreement shall under no circumstances be deemed to alter any such contract except as specifically provided below. Allpro Technology LLC acknowledges that in the course of providing services to said CLIENT, Allpro Technology LLC may learn from CLIENT certain non-public personal and otherwise confidential information relating to said CLIENT, including its customers, consumers or employees. Allpro Technology LLC shall regard any and all information it receives which in any way relates or pertains to said CLIENT, including its customers, consumers or employees as confidential. Allpro Technology LLC shall take commercially reasonable steps to not disclose, reveal, copy, sell, transfer, assign, or distribute any part or parts of such information in any form, to any person or entity, or permit any of its employees, agents, or representatives to do so for any purpose other than purposes which serve CLIENT or as expressly and specifically permitted in writing by said CLIENT or as required by applicable law. Said CLIENT acknowledges that it also has responsibility to keep records and information of its business, customers, consumers, and employees, confidential. Said CLIENT also acknowledges that all information and services, consulting techniques, proposals, and documents disclosed by Allpro Technology LLC or which comes to its attention during the course of business and provided under this agreement constitute valuable assets of, and confidential and/or proprietary to Allpro Technology LLC. This provision shall survive termination of this Agreement and any other agreements between CLIENT & Allpro Technology LLC.
Independent Engagement / Non-Hire 
Because employees are one of our most valuable assets, policy and professional ethics require that our employees not seek employment with, or be offered employment by any CLIENT during the course of engagement and for period of two (2) years thereafter. Your acceptance of these terms and conditions confirms your organizations agreement to adhere to this professional standard of conduct. CLIENT acknowledges that Allpro Technology LLC is involved in a highly strategic and competitive business. CLIENT further acknowledges that CLIENT would gain substantial benefit and that Allpro Technology LLC would be deprived of such benefit, if CLIENT were to directly hire any personnel employed by Allpro Technology LLC. Except as otherwise provided by law, CLIENT shall not, without the prior written consent of Allpro Technology LLC, solicit the employment of Allpro Technology LLC personnel during the term of this Agreement and for a period of two (2) years following expiration of this Agreement. CLIENT agrees that Allpro Technology LLC damages resulting from breach by CLIENT of this provision would be impracticable and that it would be extremely difficult to ascertain the actual amount of damages. Therefore, in the event CLIENT violates this provision, CLIENT shall immediately pay Allpro Technology LLC an amount equal to 50% of employee’s total annual compensation, as liquidated damages and Allpro Technology LLC shall have the option to terminate this Agreement without further notice or liability to CLIENT. The amount of the liquidated damages reflected herein is not intended as a penalty and is reasonably calculated based upon the projected costs Allpro Technology LLC would incur to identify, recruit, hire and train suitable replacements for such personnel.

Service Waiver

I authorize Allpro Technology LLC technician(s) to perform work on my computer and networking equipment. I understand that Allpro Technology LLC technicians have been trained to perform computer hardware, network, and software work, but Allpro Technology LLC is not an authorized service dealer. Further, I agree to release, indemnify, and hold harmless Allpro Technology LLC from liability for any claims or damages of any kind or description that may arise from any service work performed on my computer or network, unless it is caused by severe negligence of Allpro Technology LLC or its agent. I understand that Allpro Technology LLC is not responsible for any data loss, which may occur as a result of work done on my computer or network.
I certify that I am the expressed owner of the computer system and/or network which will be serviced. In the event that I am found not to be the true expressed owner of this computer system, I assume all liability for any claim made as the result of the technical support rendered by Allpro Technology LLC on this computer system or network, including those claims which assert negligence on the part of Allpro Technology LLC.
I understand that technical support rendered by Allpro Technology LLC may void manufacturer warranties for this computer system or network. Allpro Technology LLC does not assume any liability or warranty in the event that the manufacturer warranties are voided.
I understand that Allpro Technology LLC offers no verbal or written warranty, either expressed or implied, regarding the success of this technical support.
I expressly waive all claims against Allpro Technology LLC or any damages to this computer system, network, or data that are incidental to the technical support rendered by Allpro Technology LLC. The liability of Allpro Technology LLC is strictly limited to those damages to this computer system, network, or data that are due to negligence on the part of Allpro Technology LLC while technical support is being rendered.
Estimated Completion Time: Allpro Technology LLC will provide an estimated completion time for your service. Unforeseen circumstances may have an impact on our ability to complete the repair(s) as provided in the estimate.
Hardware Replacement: If replacement parts are needed for a repair, we will obtain them at your request. You are responsible for the cost of any replacement parts needed. Any old parts/hardware will be returned to you when service is completed.
Impact of Upgrades: Please be advised that it is your responsibility to understand the impact of upgrades to the operating system, applications and utility software. Such upgrades can lead to incompatibilities and the possible loss of data. Computer hardware and software work together and incompatibility may not become apparent until a later date. You are responsible for contacting the manufacturer of your software regarding compatibility issues before you request any upgrades. If the Operating System has to be replaced or reinstalled Allpro Technology LLC is responsible for installing the OS and all applicable updates. Any and all software beyond the Operating System is responsibility of the user, this includes, but is not limited to, such software as MS Office, Quicken, QuickBooks, TaxCut, and Anti-virus. Liability: Allpro Technology LLC liability for damage to your computer or network is limited only to any damage which is determined to be caused by our negligent acts or negligent omissions. Our liability for repairs is limited to the total price of the repairs. Be aware that certain repairs, including but not limited to virus and spyware removal, may damage software and/or data installed on your computer. This is to be expected and may require the re-installation of your operating system, programs, and data.
Loss of Data: Allpro Technology LLC assumes that you have already done an adequate backup to retain all of your important data. Due to the process of repair, data may get damaged or at worst, deleted. Allpro Technology LLC is not responsible for the loss of any data which may occur while performing work on your computer or network. You are responsible for backing up your own data. You may request that Allpro Technology LLC back up your data for you at the stated price; however, we do not guarantee any backup.
Ownership: You must own the computer and networking equipment that you are requesting Allpro Technology LLC to service. Allpro Technology LLC will return the computer and networking equipment only to its owner when the repair(s) are complete unless otherwise stated by the owner. You must own and demonstrate ownership of any software that is to be installed or re-installed on your computer by the Allpro Technology LLC by bringing in the original Software CDs and the appropriate keys and/or serial numbers.
Privacy: Our Technicians will not browse through your hard drive looking at your data; however, they may inadvertently see data during the course of their work. Please remove any personal or private files you do not want others to see.
Right to Refuse: In its sole discretion, Allpro Technology LLC reserves the right to refuse work that it believes is beyond the scope of its ability or for other good cause.
Abandonment: If you do not pick up your equipment within ninety (90) days after we notify you that the requested service is complete, we will treat your equipment as abandoned. You agree to hold Allpro Technology LLC harmless for any damage or claim for the abandoned property. Any and all charges are still your responsibility.
Scope of Work: Allpro Technology LLC will only perform the work agreed upon when you request our services.
Warranty: Allpro Technology LLC does not warrant its work. We will demonstrate that the service is complete at the time the service is performed.
